U.S. defense contractor L3Harris Technologies said on Monday that Christopher Kubasik had stepped down as chairman and chief executive after an investigation found conduct inconsistent with the company's values and code of conduct. The board appointed company veteran Sam Mehta as CEO and independent director Thomas Dattilo as non-executive chairman, making the abrupt leadership change effective immediately.
L3Harris said independent outside counsel conducted the investigation. The company did not describe the conduct in its public explanation, but said the matter was unrelated to financial reporting, internal controls, customer relationships or operating performance. Reuters reported that Kubasik will receive no severance in connection with his departure.
Investors reacted negatively to the unexpected transition. L3Harris shares fell 4.6% in Monday trading, according to the Associated Press, making the defense group one of the notable decliners as the broader S&P 500 lost 0.5%. The movement reflected fresh governance uncertainty rather than a newly disclosed change in contracts, earnings or operations.
Mehta, 53, brings extensive aerospace and defense experience to the top job. Company and regulatory materials show that he led L3Harris's Space and Mission Systems segment and its Communications and Spectrum Dominance business, after previously running Communication Systems. Before joining L3Harris, he held senior positions at Collins Aerospace and spent more than 17 years at Sikorsky Aircraft.
The succession comes during a strategically important period for the Florida-based contractor. L3Harris closed a $1 billion investment from the U.S. Department of War in April to expand and modernize missile production, while management recently paused a planned initial public offering for its Missile Solutions operation because of market conditions. The company supplies communications, space, surveillance and missile technologies to the United States and allied governments.
Kubasik had led L3Harris as CEO since June 2021 and later added the chairman role. The company has emphasized continuity under Mehta and said the leadership change does not alter its reported financial or operational position. Investors, government customers and employees will now watch for further governance disclosures and for signs that Mehta can maintain delivery and production plans during the transition.
