Nvidia has agreed to acquire artificial-intelligence developer platform Hugging Face for $12.93 billion, extending the chipmaker's reach from processors and computing systems into one of the world's largest hubs for sharing open AI models. Nvidia announced the agreement on Thursday, September 3, and said the companies plan to expand the platform's infrastructure and access for developers and institutions worldwide.
The transaction includes about $11.9 billion for Hugging Face shareholders and an equity-based retention program worth up to $1 billion for employees who join Nvidia, according to Reuters and AP. The companies did not provide a closing timetable in their public announcement. The deal turns an existing partnership and investment relationship into one of Nvidia's largest acquisitions.
Chief executive Jensen Huang said Hugging Face would remain open to the wider AI ecosystem. Nvidia stated that users would continue to choose their preferred models, software frameworks, cloud and inference providers, and computing platforms. It specifically said Nvidia hardware would not be required to build or deploy software through Hugging Face, an assurance aimed at developers who rely on competing chips and services.
Nvidia said more than 18 million developers, researchers and creators use Hugging Face to share over 3 million models, 500,000 datasets and 1 million applications. More than 200,000 companies use the service to find, evaluate, customize and deploy AI systems. Nvidia has itself published more than 500 models and over 250 open datasets on the platform, giving the companies a substantial technical relationship before the acquisition.
The purchase gives Nvidia a central position in the software layer where developers collaborate and distribute AI tools, while its high-end processors already power much of the industry's model training and inference. Reuters reported that Nvidia is betting open models will stimulate future computing demand even as some major customers design their own chips to reduce dependence on the company. The agreement also raises questions about how an essential neutral platform will operate under the industry's leading AI-chip supplier.
Nvidia said Hugging Face would continue supporting open-source and open-weight models as well as development and deployment across multiple clouds and accelerator brands. That promise will be closely watched by users, competitors and regulators as the transaction advances. For developers, the immediate issue is whether Nvidia can finance stronger infrastructure without narrowing the platform's broad hardware and model choices.
